By accessing and using AssistAI's services, you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service are governed by English law.

2. Service Description

AssistAI provides remote monitoring and management (RMM) services that enable organizations to monitor, manage, and secure their device fleets.

Our services include but are not limited to:

  • Device registration and inventory
  • Remote command execution and policies
  • Remote viewing and support sessions
  • Customer and organization scoping
  • Dashboard and audit logs

3. User Accounts

Account Registration:

  • You must provide accurate and complete information
  • You are responsible for maintaining account security
  • You must notify us immediately of any unauthorized use
  • One person or legal entity per account

Account Responsibilities:

  • You are liable for all activities under your account
  • Keep your login credentials confidential
  • Use strong passwords and enable two-factor authentication where available

4. Acceptable Use

You agree to use our service only for lawful purposes and in accordance with these Terms. You agree NOT to use the service:

  • In any way that violates applicable local, national or international law or regulation
  • To transmit or procure the sending of advertising or promotional material without our consent
  • To impersonate or attempt to impersonate the Company, employees, or other users
  • In any way that infringes upon the rights of others or restricts their use of the service
  • For harassment, abuse, or harm of others or yourself
  • To create false identities or accounts
  • For any fraudulent or malicious activity

5. Service Availability

We strive to provide reliable service but cannot guarantee 100% uptime. Service may be interrupted for:

  • Planned maintenance (with advance notice where possible)
  • Emergency repairs
  • Third-party service outages
  • Force majeure events

We aim for 99.9% uptime and will provide service credits for significant outages as outlined in our Service Level Agreement.

6. Payment Terms

Payment terms will be outlined in your service agreement. Generally:

  • Fees are payable in advance
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to change pricing with 30 days notice
  • Overdue accounts may result in service suspension
  • You are responsible for all taxes and fees

7. Intellectual Property Rights

The service and its original content, features, and functionality are and will remain the exclusive property of AssistAI and its licensors.

Our Rights:

  • All software, technology, and content provided by AssistAI
  • Trademarks, service marks, and trade names
  • Proprietary algorithms and AI models

Your Rights:

  • Data and content you upload or create
  • Your company information and branding
  • Call recordings and transcripts from your agents

8. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

By using our service, you consent to the collection and use of information as outlined in our Privacy Policy.

9. Limitation of Liability

IN NO EVENT SHALL ASSISTAI, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claim arising from these terms or your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless AssistAI from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of the service or violation of these terms.

11. Termination

Termination by You:

You may terminate your account at any time through your account settings or by contacting us.

Termination by Us:

We may terminate or suspend your account immediately if you:

  • Breach these Terms of Service
  • Engage in fraudulent or illegal activity
  • Fail to pay fees when due
  • Violate our Acceptable Use Policy

Upon termination, your right to use the service ceases immediately, and we may delete your data after a reasonable period as outlined in our Privacy Policy.

12. Governing Law and Jurisdiction

These Terms shall be interpreted and governed by the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising from these terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible, and the remaining provisions will continue in full force and effect.
